Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
D. Assignment. You may not assign or transfer these Terms, in whole or in part, by operation of law or otherwise, without our express prior written consent. Any attempt to do so, without our written consent, will be null and of no effect. We may freely assign these Terms.
E. Force Majeure. We will not be responsible for any failure or delay in our performance under these Terms due to causes beyond its reasonable control, including, but not limited to, labor disputes, strikes, lockouts, shortages of or inability to obtain energy, raw materials or supplies, war, terrorism, riot, or acts of God.
F. Entire Agreement. These Terms constitute the complete and exclusive agreement between Norbella and you regarding its subject matter and supersedes all prior or contemporaneous quotations, agreements, communications or understandings, whether written or oral, relating to its subject matter. Any waiver, modification or amendment of any provision of these Terms will be effective only if in writing and signed by duly authorized representatives of each party. If any provision(s) of these Terms is found to be contrary to law, then such provision(s) will be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
G. Compliance With Laws. The website and the Norbella Content, and your use of our website and the Norbella Content, are subject to U.S. and international laws, restrictions, and regulations that may govern the import, export, and use of the website and the Norbella Content. You agree to comply with all applicable laws, restrictions and regulations.
H. Notices. B. No Class Actions. You may only resolve Disputes with Norbella on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren’t allowed under our Terms.
C. Waiver and Severability. No waiver by Norbella of any provision set forth in these Terms shall be deemed a further or continuing waiver of such provision or a waiver of any other term or condition, and any failure of Norbella to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision in these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
D. Judicial Forum for Claims. We would like to resolve any complaints or dissatisfaction before it ever reaches the point of litigation. In the event that you are dissatisfied with our website, please contact us using the information contained in the “Contact Us” section below. In the event that we are unable to satisfactorily resolve your claim, you and Norbella agree that any judicial proceeding (other than small claims actions) will be brought in the federal or state courts of Suffolk County, Massachusetts. Both you and Norbella consent to venue and personal jurisdiction there. We both agree to waive our right to a jury trial.
E. Limitation on Claims. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the website must be filed within one (1) year after such claim or cause of action arose, or else that claim or cause of action will be barred forever.
F. Injunctive Relief. Notwithstanding the foregoing, in the event of your or others’ unauthorized access to or use of the website or content in violation of these terms you agree that we are entitled to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
